Welcome to The Green Light Series: 3-Point Competition hosted by The Red Well Foundation (together with all subsidiaries and affiliates including “The Red Well Foundation”, “our”, “we”, or “us”) provide the ultimate three-point basketball challenge (collectively, “Green Light Series”). If you submit your form to participate in the Green Light Series Basketball Competition, you agree to be bound by these terms and conditions. You agree to participate only for the purposes that are permitted by these Terms. If you are under 18, you may participate only with permission of a parent or guardian. Please read them carefully.
1. INDIVIDUAL PARTICIPANT
You agree to these Terms by submitting a form to participate in our competition. If you do not agree to be bound by all of these Terms, including our Privacy Policy, you should not sign up to participate in our competition. By signing up for the competition, you hereby represent and warrant to us that: (i) you are over the age of majority in your jurisdiction or otherwise have the power and authority to enter into and perform your obligations under these Terms, or, if you are below the age of 18, but between 13 and 18 years of age, you have consent of a parent or guardian to sign up for the competition: (ii) all information provided by you is truthful, accurate and complete; and (iii) you will comply with the terms and conditions of these Terms and any other agreement to which you are subject to that is related to your participation or any part thereof. You may not participate if you are prohibited, either by the laws of the United States of America or any other country, from participating in such events.
You understand that if you are no longer able to participate in the Green Light Series Basketball Competition, you are obligated to communicate your inability to participate to the Red Well Foundation via email at GreenLight@theredwell.org within 5 business day of the next event and that failure to do so will forfeit any and all monies paid.
2. NECESSARY EQUIPMENT
The Red Well Foundation and its affiliates will provide all equipment necessary to participate in our competition, including but not limited to, a basketball, facility, and other equipment necessary to complete the series. We do not guarantee that basketball and/or rim meet acceptable regulations are in full working order. We also do not guarantee that any facility where the events are to be held are without defects or issues and not responsible for any injury that may occur at the designated location.
3. PROHIBITED CONDUCT
By agreeing to participate and otherwise participate in the Green Light Series Competition you acknowledge and agree that you:
WILL NOT conceal or carry a firearm into the facility where the event(s) will take place;
WILL NOT engage in behavior that may be deemed by us to be threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, explicit or otherwise in violation of these Terms;
WILL NOT impersonate any person or entity;
WILL NOT bring or consume any alcohol during the event unless provided by The Red Well Foundation or sold at the facility
WILL be responsible for your own guests and if said guests behavior is determined to be disruptive, the guests will be ask to leave and you may be forced to resign your position.
4. FEES AND PAYMENT
In consideration for participation in the Green Light Series Competition, The Red Well Foundation shall be entitled to charge you: (i) a one-time participation fee to be paid either in whole, in partial payments. Payments are to be made via TheRedWell.orgwebsite on the Green Light Series page or directly to a co-founder, to be received at their discretion. If for some reason there are insufficient funds, you will not allowed to participate until that issue is cured. Simply submitting the form on the Green Light Series page does not guarantee you a spot in the series, as full payment or a payment arrangement must be made in order to be considered for a spot.
All prices are shown in U.S. dollars and are subject to change. The Red Well Foundation reserves its right to expire or modify pricing at any time. Taxes may be included in your purchase. All prices and taxes are subject to change or adjustment without notice. You are responsible for paying all costs associated with your participation, and for providing accurate and current payment information. We will process your payment immediately upon our acceptance of your order.
5. ELECTRIC COMMUNICATION
You consent to receive communications from us both email and via sms messaging. We will communicate with you via email to provide you with information. It is your responsibility to check any and all correspondence sent from The Red Well Foundation as such communication will include important event information. Failure to arrive to each of the scheduled events can cause you to be expelled from the competition. Lack of notice will not be a sufficient reason for your reinstatement in the competition as it remains your responsibility to stay up to date. If, for any reason, the scheduled event(s) is cancelled, notice will be provided via The Red Well Foundation’s Instagram Page and delivered via email.
Where The Red Well Foundation requires that you provide an e-mail address, you are responsible for providing The Red Well Foundation with your most current e-mail address. In the event that the last e-mail address you provided to The Red Well Foundation is not valid, or for any reason is not capable of delivering to you any notices required/ permitted by these Terms, The Red Well Foundation’s dispatch of the e-mail containing such notice will nonetheless constitute effective notice.
6. PRIVACY
Your privacy is important to use. We make our Privacy Policy available to you regarding how we collect, use and share your Personal Information. We encourage you to read our Privacy Policy, and to use it to help you make informed decisions.
7. DISCLAIMERS
To the maximum extent permitted by law, our competition is provided “AS IS” and “AS AVAILABLE”, and at your sole risk. We expressly disclaim all warranties of any kind, whether express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular use or purpose, title, and non-infringement. Without limitation, we make no warranty that our competition will meet your requirements, that the competition will be uninterrupted, timely, secure, or error-free, that defects in the operation or functionality and any content or information found on our site will be accurate or reliable. If for any reason you are not satisfied with the competition, your sole remedy is to cease your participation. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. SOME JURISDICTIONS DO NOT ALSO ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OR EXCLUSION OF LIABILITY FOR LOSS OR DAMAGE CAUSED BY NEGLIGENCE, BREACH OF CONTRACT OR BREACH OF IMPLIED TERMS, OR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, ONLY THE ABOVE LIMITATIONS WHICH ARE LAWFUL IN YOUR JURISDICTION WILL APPLY TO YOU AND THE RED WELL FOUNDATION’S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
8. TERM AND TERMINATION
These Terms are effective unless and until terminated by The Red Well Foundation or you. The Red Well Foundation may, in its sole discretion, terminate your participation in the Green Light Series Competition or any part thereof if you fail to comply with any term of provision of these Terms. You may terminate these Terms at any time by discontinuing your participate in the Green Light Series Competition. Termination or cancellation of these Terms shall not affect any right or relief to which either The Red Well Foundation or you may be entitled at law or in equity. Upon termination, you must terminate all use of our competition series, including name, image, or likeness and destroy all materials, including any Content, obtained during the competition.
9. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, any amendments and any additional written agreement you may enter into with The Red Well Foundation in connection with your participation in the Green Light Series, constitute the entire agreement between you and us with respect to the subject matter hereof, and supersede all prior and contemporaneous agreements and understandings, whether written or oral, concerning the subject matter hereof. Any conflicting or supplementary terms and conditions to these Terms proposed by you in any e-mail or other communication shall not be binding on us, and are hereby objected to and expressly rejected.
SEVERABILITY.
If any portion of these Terms is held invalid or unenforceable under applicable law, that portion shall be construed in a manner consistent with applicable law to accomplish, as nearly as possible, the objective thereof, or severed from the document if and solely to the limited extent such construction is not possible, and the remaining portion of these Terms and the Privacy Policy shall remain in full force and effect.
10. RELATIONSHIP OF THE PARTIES
No joint venture, partnership, employment or agency relationship exists between you and us as a result of these Terms or your participation in the Green Light Series. By entering your information on our “Sign up” form you understand that such action does not guarantee a spot in The Red Well Foundation’s Green Light Series as you will be required to satisfy designated eligibility requirements including payment. It is within The Red Well Foundation’s sole discretion to institute a “cap” and/or close registration once all spots are filled. The Red Well Foundation does not promise the $1,000.00 grand prize to any participant that does not successfully complete the series.
Further, by entering your information on our “Sign up” form you understand that such action does not automatically create a partnership with The Red Well Foundation. Only an authorized representative from The Red Well Foundation can obligate the foundation to a partnership agreement and/or opportunity.
11. FORCE MAJEURE
The Red Well Foundation shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, pandemic, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials, telecommunications, or utilities.
12. MODIFICATIONS TO THESE TERMS
We reserve the right to modify these Terms at any time, effective upon posting. You can tell when changes have been made to these Terms by referring to the “Last Updated” legend on top of this page. We will provide you with advance notice of a major change. For example, we may (i) require that you reaccept the updated version of these Terms, (ii) send you an electronic notification advising of the update to this Terms, or (iii) include a notice on our Website. We do not ordinarily provide advance notice of a minor change.
We encourage you to check these Terms every time you visit our Website. Your continued use of the Website and/or utilization of any Services benefits after these Terms have been updated (and after advance notice for a major change) indicates your agreement and acceptance of the updated version of these Terms.
13. DISPUTE RESOLUTION
These Terms (including without limitation the validity, construction and performance of duties related to the Terms) are governed by and construed in accordance with the laws of the United States of America and the laws of the State of Illinois, without giving effect to any principles of conflicts of laws.
You shall first contact us at contact@theredwell.org regarding any claim or controversy arising out of or relating to these Terms, or any breach thereof, or the use of our Website , except such claims or controversies for which injunctive relief is available. Any claim or controversy that cannot be resolved by the parties after the exercise of good faith discussion within thirty (30) days shall be finally settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules including the Supplementary Procedures for Consumer-Related Disputes (collectively, “AAA Rules”), and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The AAA Rules are available online at https://adr.org/. You agree that, by accepting these Terms, you and The Red Well Foundation are each waiving the right to a trial by jury or to participate in a class action. These Terms evidence a transaction in interstate commerce, and thus the Federal Arbitration Act governs the interpretation and enforcement of this provision. Unless you and The Red Well Foundation agree otherwise, any arbitration hearings will take place in the state of Illinois.
In the event that binding arbitration is not enforceable, you consent to the exclusive jurisdiction of any federal or state court located in the State of Illinois, U.S.A. for the resolution any disputes. Any cause of action you may have with respect to your participation in the Green Light Series must be commenced within six (6) months after the claim or cause of action arises.
14. THIRD PARTY ACTIVITIES.
THE RED WELL FOUNDATION MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF THE OTHER PARTICIPANTS, SERVICE PROVIDERS AND OTHER USERS OF OUR SERVICES. YOU AGREE TO USE YOUR OWN DISCRETION IN ALL INTERACTIONS OR TRANSACTIONS WITH ANY THIRD PARTIES. We make no representation, warranty or endorsement regarding any third parties. By participating, you agree that the sole remedy for any damage or harm inflicted by a third party also participating in the Green Light Series or otherwise present in any facility,(including other Game players) will be limited to claims against such third party, and that you will not seek monetary damages or any other remedy from The Red Well Foundation in connection with such events. The Red Well Foundation HEREBY DISCLAIMS ALL LIABILITY FOR ANY ACT OR OMISSION OF ANY THIRD PARTIES (INCLUDING OTHER GAME PLAYERS, SERVICE PROVIDERS OR OTHER USERS WHO MAY PARTICIPATE IN THE GREEN LIGHT SERIES 3-POINT BASKETBALL COMPETITION.
